Welcome to PropertyBin ("PropertyBin", "Platform", "we", "us", or "our"). These Terms of Use ("Terms") govern all access to and use of our web application, mobile interfaces, software services, API integrations, tools, calculators, marketing studios, and public directories (collectively, the "Services").

1.1 Eligibility & Legal Capacity

By accessing or using the Services, you represent and warrant that you are at least the age of majority in your jurisdiction of residence (e.g., 18 or 19 years old in Canadian provinces and territories) and possess the full legal right, power, and authority to enter into these Terms.

1.2 Modifications to Terms

We reserve the right to revise, update, or modify these Terms at any time in our sole discretion. Any changes become effective immediately upon posting to the site with an updated "Last updated" date. Your continued use of the Services following the posting of revised Terms constitutes your acceptance and agreement to the modifications.

PropertyBin provides consumers and real estate industry professionals (including real estate agents, brokers, home builders, mortgage specialists, real estate lawyers, and inspectors) with an integrated digital ecosystem to discover properties, build professional profiles, calculate financial estimates, and streamline marketing workflows.

2.1 Non-Advisory Status

The information, estimates, calculators, analysis, AI-generated prompts, and listing data available on PropertyBin are for general informational, educational, and marketing utility only. They do not constitute financial advice, legal counsel, mortgage underwriting, tax guidance, or official real estate appraisals. Users must consult with qualified licensed professionals prior to entering into binding real estate purchase, sale, lease, or financing contracts.

To access certain features of PropertyBin—such as saving favorite homes, creating public professional profiles, accessing the Marketing Content Studio, managing CRM pipelines, or deploying newsletter campaigns—you must register for an account.

3.1 Account Security & Accuracy

You agree to provide true, accurate, current, and complete registration data and to update your information promptly whenever changes occur. You are solely responsible for maintaining the confidentiality of your account credentials (including passwords) and for all activities conducted under your account.

3.2 Professional Account Verification

Users who register for or request professional status (such as Agent, Brokerage, Builder, Real Estate Lawyer, or Inspector) must provide valid licensing details, provincial regulatory registration numbers, and brokerage affiliation information where required. PropertyBin reserves the right to conduct identity, license, and FINTRAC verification checks. Submitting fraudulent, expired, or misleading professional accreditation may result in immediate suspension, termination, and reporting to relevant regulatory bodies.

PropertyBin aggregates real estate property listings, pre-construction developments, and market intelligence from multiple data sources, including Multiple Listing Service® (MLS®) systems, RETS/IDX data feeds, property developers, and registered professional users.

4.1 Listing Data Accuracy & Dynamics

Real estate market conditions, pricing, property availability, property tax assessments, room dimensions, square footage, boundary lines, and school zones change rapidly. While PropertyBin endeavors to maintain updated listings, we make no representations or warranties regarding the completeness, accuracy, or timeliness of listing information.

4.2 Independent Property Verification

Buyers, sellers, renters, and investors are strictly responsible for independently verifying all property details, title history, zoning, environmental disclosures, physical property condition, and contractual terms with licensed realtors, lawyers, and certified home inspectors before signing binding legal agreements or transferring deposits.

Our platform permits registered users and professionals to publish profiles, service packages, property listings, blog articles, reviews, marketing graphics, floor plans, and messages ("User Content").

5.1 License Grant to PropertyBin

By posting, uploading, or submitting User Content to PropertyBin, you grant PropertyBin a perpetual, worldwide, non-exclusive, royalty-free, fully sublicensable, and transferable license to host, store, cache, display, reproduce, modify, format, translate, and distribute your User Content across our site, search engines, mobile apps, and promotional channels in connection with operating and marketing the platform.

5.2 Content Representations & Reviews

You represent and warrant that you own or possess all necessary rights, licenses, consents, and permissions to publish the User Content you submit. User reviews and service package offerings must reflect genuine experiences and accurate service descriptions. PropertyBin reserves the right to moderate, unpublish, or delete content that violates our standards or third-party intellectual property rights.

When using PropertyBin, you agree to adhere to standard professional etiquette and security practices. You strictly agree that you will NOT:

• Use any robot, spider, scraper, site search/retrieval application, or other automated device to access, retrieve, index, or data-mine any portion of the platform;
• Submit fake leads, spam inquiries, phishing attempts, or deceptive message submissions to registered agents, builders, or sellers;
• Engage in illegal activities, trademark infringement, copyright violation, or defamation;
• Circumvent rate limiters, security tokens, login mechanisms, or platform firewall controls;
• Introduce malware, viruses, Trojan horses, worm code, or perform denial-of-service (DDoS) attacks against PropertyBin infrastructure.

PropertyBin offers interactive tools including mortgage payment calculators, land transfer tax estimators, rental yield analyzers, market insight reporting, and an AI-powered Marketing Arsenal ("AI Copilot").

7.1 Calculator & Estimator Disclaimers

All calculations, interest rate simulations, tax estimations, and financial comparisons are mathematical estimates provided solely for illustrative guidance. Actual mortgage rates, qualifying criteria, land transfer taxes, closing costs, and legal fees vary based on lender rules, municipal bylaws, and individual creditworthiness.

7.2 AI Copilot & Generative Content Terms

When using our AI Copilot tools (such as AI headline generators, listing description Polish tools, or social prompt creators), you acknowledge that AI-generated suggestions are computer-assisted drafts. You are responsible for reviewing, verifying accuracy, and editing all AI output prior to public publication or client communications.

PropertyBin offers optional paid feature packages, premium directory placements, Pro newsletter distribution tools, and marketing credits for real estate professionals.

8.1 Billing & Recurring Subscriptions

Fees for paid subscription tiers or recurring service packages are billed in advance on a monthly or annual basis. Unless cancelled prior to the end of the current subscription period, recurring plans auto-renew automatically under the applicable subscription rate.

8.2 Cancellation & Lead Distribution

You may cancel subscription plans at any time through your Account Dashboard or by contacting customer support. Enquiries and consumer leads routed through your claimed professional profile or listings are governed by our account delivery terms and are non-exclusive unless expressly agreed in a specialized sponsorship agreement.

All software code, database architecture, domain names, trademarks, logos, visual designs, icons, scripts, page layouts, and proprietary content on PropertyBin are the sole property of PropertyBin or its licensors and are protected under Canadian and international copyright, trademark, and intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, publish, reverse-engineer, decompile, or create derivative works from any part of the platform without prior written consent from PropertyBin.

The Services may contain links to external third-party websites, map providers, financial institution calculators, municipal portals, or brokerage pages. PropertyBin does not monitor, control, or endorse third-party content, policies, or practices. Your interactions with third-party websites are governed exclusively by those respective parties' terms and privacy policies.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, THE SERVICES, LISTINGS, TOOLS, CALCULATORS, AI FEATURES, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.

PROPERTYBIN EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SYSTEM AVAILABILITY, OR UNINTERRUPTED, ERROR-FREE OPERATION.

12.1 Limitation of Damages

IN NO EVENT SHALL PROPERTYBIN, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, REPUTATIONAL INJURY, OR PROPERTY TRANSACTION LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

12.2 Indemnification

You agree to defend, indemnify, and hold harmless PropertyBin and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of your User Content, your breach of these Terms, or your violation of any law or third-party right.

These Terms, your access to PropertyBin, and any disputes arising out of or related to our Services shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action, suit, or proceeding arising under or relating to these Terms shall be instituted exclusively in the courts located in the Province of Ontario, Canada, and you irrevocably submit to the personal jurisdiction of such courts.

We reserve the right, without notice and in our sole discretion, to terminate or suspend your account, restrict your access to all or part of the platform, or remove User Content if we determine that you have violated these Terms, engaged in fraudulent activity, or compromised platform security.

Upon termination, your right to use the Services immediately ceases. All provisions of these Terms which by their nature should survive termination shall survive (including Intellectual Property Rights, Warranty Disclaimers, Limitations of Liability, and Indemnification).

Entire Agreement: These Terms, together with our Privacy Policy and any official service agreements, constitute the entire agreement between you and PropertyBin regarding the Services.

Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Waiver: No failure or delay by PropertyBin in exercising any right under these Terms shall constitute a waiver of that right.
